Mintel Deep Research and MCP Integration
This Services Addendum (this “Addendum”) forms part of the Agreement between Licensee and Licensor. This Addendum applies only where Licensee purchases Deep Research, the MCP Integration, or both, as identified in the Order Form (the “Covered Services”). Conflicting terms in the Agreement are superseded by this Addendum solely for the Covered Services. Capitalized terms used but not defined in this Addendum have the meanings given to them in the Agreement.
1. COVERED SERVICES
1.1 General. Licensor will make the Covered Services available to Licensee and its Authorized Users during the Term in consideration of the Fee. The Covered Services are delivered using artificial intelligence models, systems and software operated by or on behalf of Licensor, including any third-party models Licensor licenses for that purpose (“Licensor AI”), to generate or deliver analyses, summaries, charts, responses, data and other materials to Licensee and its Authorized Users (“Outputs”). Access through the Covered Services is limited to the Content licensed to Licensee under the Agreement, as identified on the Order Form.
(i) Deep Research. Deep Research is a Covered Service that uses Licensor AI to provide research analyses and insights derived from Mintel Content. Outputs are sourced from Mintel Content. Deep Research does not retrieve or incorporate third-party data from the public internet as source data, but Licensor AI may use the general reasoning capabilities of its underlying language model to structure and produce Outputs.
(ii) MCP Integration. The MCP Integration (the “MCP”) is an AI-to-AI integration that allows Authorized Users to access Content by connecting a Permitted AI Platform to Licensor AI. In Search mode, the MCP returns Mintel Content and supporting context to the Permitted AI Platform, and the Permitted AI Platform generates the resulting response. In Answer mode, the MCP returns Mintel Content together with a response generated by Licensor AI. Licensee may only connect to the enterprise AI platforms or tools identified on the Order Form, each of which is operated by or on behalf of Licensee (each a “Permitted AI Platform”).
2. USAGE ALLOWANCE AND LIMITS
2.1 Question Allowance. Licensee’s use of the Covered Services during the Term is limited to the number of discrete analytical requests submitted to a Covered Service for an Output (each a “Question”) stated in the Service Terms (the “Question Allowance”). Clarifying, refining or follow-up prompts issued by a Covered Service to Licensee or an Authorized User before an Output is produced are not Questions and are not counted against the Question Allowance. The Question Allowance applies to the relevant Licensee account or User Group for the entire Term and is consumed by all Authorized Users under that account. The Parties acknowledge that the metric for usage may in the future be expressed in tokens or another unit of consumption, in which case the corresponding unit stated in the Service Terms applies in place of “Questions” throughout this Addendum.
2.2 Daily User Limit. Where the relevant Covered Service supports per-user controls, Licensor may apply any daily per-user Question limit stated in the Service Terms (the “Daily User Limit”) to help Licensee manage the Question Allowance. Where no Daily User Limit is stated, Licensor may be unable to enforce a per-user limit, and the Question Allowance will continue to apply at the account level.
2.3 No carry-over. Any unused Question Allowance expires at the end of the Term and will not carry over, roll forward, or give rise to any credit, refund or other entitlement.
2.4 Additional Questions. Licensee may purchase additional Questions during the Term by entering into a further addendum or order, which will be invoiced and prepaid in the same manner as the Fee. Licensee also authorizes Licensor to make available to Authorized Users the ability to purchase additional Questions directly through Licensor’s website using a payment card. Any such purchase is additional to the Fee, is made at the election of the purchasing Authorized User, and is the responsibility of Licensee. Licensor will, upon Licensee’s written request, disable self-service purchasing for Licensee’s account.
3. EXPIRY AND TERMINATION
3.1 Effect of expiry or termination. On expiry or termination of the Term, Licensee’s and its Authorized Users’ right to access the Covered Services ends. Unless and only to the extent that Licensee maintains an active License to the relevant Content, whether through the Agreement, a successor subscription or a successor in-kind addendum, Licensee must comply with the Agreement’s Content retention and destruction obligations.
4. ACCEPTABLE USE
4.1 Restrictions. The Agreement’s use restrictions and Licensor rights reservations apply to the Covered Services and Outputs. Without limiting the foregoing, Licensee and its Authorized Users must not: (a) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, models, algorithms or underlying components of the Covered Services; (b) use the Covered Services to develop a competing product or service; (c) submit personal data (as defined under applicable law) to the Covered Services; or (d) use the Covered Services where prohibited by law, and Licensee warrants that it will not do so.
5. DATA USE AND PRIVACY
5.1 Source data. The Covered Services operate on Mintel Content and data and are not designed to require or process personal data provided by Licensee within Questions.
5.2 Inputs and logging. Licensor may log and retain Questions and prompts to operate, secure, monitor and improve the Covered Services. Licensor will not use Questions or prompts to generate Outputs for other customers, or to train Licensor AI or any other artificial intelligence model or system. Licensor will treat Questions and prompts as Licensee’s Confidential Information under the Agreement.
5.3 Output storage. Except as expressly agreed in writing, Licensor has no obligation to store Outputs for Licensee. Licensee is solely responsible for storing, retaining and using Outputs in its own systems, any Permitted AI Platform, or any other permitted third-party tool.
6. OUTPUTS AND INTELLECTUAL PROPERTY
6.1 License to Outputs. Subject to the Agreement and this Addendum, Licensor grants Licensee a license to use the Content, and derivatives of the Content, contained in Outputs, including to create and use derivative works. Where an Output contains Mintel Content together with other material, Licensor’s rights, and the license granted under this Section 6.1, apply only to the Mintel Content and its derivatives.
6.2 Third-party generative capabilities. Generative capabilities made available through a Covered Service or a connected Permitted AI Platform, including image generation, are provided by third-party AI service providers, whether licensed by Licensor as part of Licensor AI or contracted by Licensee as part of its Permitted AI Platform. Licensor does not supply third-party product imagery or other rights-restricted source material to generate new concepts or derivative works. Licensee is solely responsible for its use of generative Outputs, including any downstream use of those Outputs.
7. AI-SPECIFIC RISKS AND DISCLAIMERS
7.1 AI risk. Outputs are produced using artificial intelligence and may be incomplete, inaccurate or misleading. Outputs may vary based on the prompts submitted, the context, the Mintel Content processed, and the behavior of Licensor AI, any underlying third-party language model, and any Permitted AI Platform. Outputs are not professional, legal, financial or other advice and should be independently verified before being relied upon.
7.2 Disclaimer. Licensee is solely responsible for the selection, configuration and use of each Permitted AI Platform, including how it processes, stores and uses any Mintel Content or response received through the MCP. Licensor has no control over any Permitted AI Platform, and no Permitted AI Platform forms part of Licensor AI or the Covered Services. Accordingly, Licensor makes no representation or warranty as to, and has no responsibility or liability for, any Permitted AI Platform, including its performance, security or any response it generates.
8. GENERAL
8.1 No other changes. Except as expressly modified by this Addendum, the Agreement and the Order Form remain in full force and effect.
